These Terms constitute a legally binding agreement between you ("you" or the "User") and Soundverter ("Soundverter," "we," "us," or "our").
Eligibility and Authority
You must be at least 13 years old to use the Service. If you are under 18, you represent that you have the consent of a parent or legal guardian.
If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.
Changes to Terms
We may update these Terms at any time. The Effective Date above will reflect the latest version.
Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
We may update, replace, or modify the arbitration clause at any time to the fullest extent permitted by law; continued use after posting constitutes acceptance.
Description of the Service
The Service provides tools that allow users to request and download publicly available SoundCloud audio for personal use, subject to all applicable laws and third-party terms.
The Service does not host or store audio content files. All conversions and downloads occur locally in your browser, and we do not retain audio files.
User Accounts and Download History (Feature)
We provide account-based features that allow you to view your download history, previously accessed track URLs, and related metadata for your convenience.
This information is stored in a secure centralized database and is tied to your account solely to provide these features and improve core functionality.
We do not publicly share or disclose this information. It is accessible only to you while logged in, and to Soundverter solely for operating and securing the Service.
User Responsibilities
You are solely responsible for your use of the Service and for ensuring that you have all necessary rights, licenses, permissions, or consents to download or use any content.
You agree to comply with all applicable laws, regulations, and third-party terms, including without limitation SoundCloud’s terms and any copyright or intellectual property laws.
You acknowledge that Soundverter acts only as a neutral tool provider and has no control over the content you choose to access, download, or use.
Prohibited Conduct
You may not use the Service to infringe or violate any intellectual property rights.
You may not bypass technical measures, DRM, paywalls, subscription protections, or geographic restrictions.
You may not interfere with or disrupt the Service, attempt to gain unauthorized access, or introduce malware or harmful code.
You may not use automated scripts or bots to excessively access or abuse the Service.
You may not misrepresent identity, ownership, or authorization to download or use content.
Third-Party Services and Terms
The Service may interact with SoundCloud and other third-party services solely at your direction. Your use of third-party services is subject to their terms and privacy policies.
Soundverter is not responsible for third-party services, their availability, accuracy, or any resulting obligations or liabilities.
Features may break, change, or become unavailable due to third-party changes; Soundverter is not liable for such changes.
Intellectual Property; Ownership
All rights, title, and interest in and to the Service, including the software, design, and trademarks, belong to Soundverter or its licensors.
All rights to third-party content (e.g., SoundCloud content) remain with their respective owners. Soundverter does not claim ownership of any third-party content.
Solely to operate the Service at your direction, you grant Soundverter a limited, non-exclusive, royalty-free license to process links and metadata you submit.
Artist Opt-Out Policy
We respect rights holders. If you are an artist or rights holder and do not want your music to be downloadable through our Service, you may submit an opt-out request.
Upon verification of rights, we will block downloads of tracks associated with your artist name or profile from being processed through our system on a go-forward basis.
To submit an opt-out request, email support@soundverter.com with proof of ownership and links to the relevant content.
We do not guarantee that all variants, covers, remixes, or mislabeled uploads will be blocked; blocks are implemented on a commercially reasonable efforts basis.
Data Storage and Privacy (Scope)
We do not store any audio files or actual downloaded media on our servers.
We store limited metadata (e.g., track URLs, timestamps, and download history) tied to your account to enable account features and secure the Service.
We do not sell or publicly disclose your download history or track URLs; access is restricted as necessary to operate, protect, and improve the Service.
Availability; Modifications; Beta Features
The Service may be unavailable, interrupted, limited, or error-prone. We may throttle, rate-limit, or suspend features or access to protect the Service.
We may modify, suspend, or discontinue the Service (in whole or in part) at any time without notice or liability.
Some features may be labeled as beta or experimental and may be incomplete or change without notice.
Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
SOUNDVERTER DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
YOU ASSUME ALL RISK FOR YOUR USE OF THE SERVICE, INCLUDING ANY DOWNLOADS OR USE OF CONTENT.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SOUNDVERTER OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, MEMBERS, SHAREHOLDERS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE—EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUNDVERTER’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID (IF ANY) TO SOUNDVERTER FOR ACCESS TO THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) TEN U.S. DOLLARS ($10).
THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN ALL ACTIONS OF ANY KIND, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, STRICT LIABILITY, OR OTHERWISE.
Indemnification
You agree to defend, indemnify, and hold harmless Soundverter and its affiliates, officers, directors, employees, members, shareholders, agents, and licensors from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property or privacy rights.
This includes claims by rights holders, platform providers (including SoundCloud), governmental entities, and other users.
Binding Arbitration Selected by Soundverter; Waiver of Right to Sue; Class and Jury Trial Waivers; Confidentiality; Limitations
MANDATORY ARBITRATION: BY CREATING AN ACCOUNT OR USING THE SERVICE, YOU AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES OF ANY KIND ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR ANY INTERACTION WITH SOUNDVERTER (COLLECTIVELY, "CLAIMS") SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, AND NOT IN COURT.
SELECTION BY SOUNDVERTER: THE ARBITRATION ADMINISTRATOR (E.G., AAA, JAMS, NAM, CPR, OR ANOTHER REPUTABLE PROVIDER), THE APPLICABLE RULES (INCLUDING COMMERCIAL OR CONSUMER RULES), THE SEAT/VENUE (CHICAGO, ILLINOIS, USA, OR REMOTE/VIDEO), THE LANGUAGE (ENGLISH), THE NUMBER OF ARBITRATORS (ONE), AND THE ARBITRATION FORMAT (IN-PERSON, REMOTE, OR DOCUMENTS-ONLY) SHALL BE SELECTED BY SOUNDVERTER IN ITS SOLE DISCRETION.
WAIVER OF RIGHT TO SUE: YOU IRREVOCABLY WAIVE ANY RIGHT TO SUE OR BRING CIVIL ACTIONS IN COURT AGAINST SOUNDVERTER OR ANY OF ITS OWNERS, SHAREHOLDERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES FOR ANY MATTER WHATSOEVER, AND AGREE TO ARBITRATION AS THE SOLE AND EXCLUSIVE FORUM.
CLASS ACTION AND JURY TRIAL WAIVERS: YOU AND SOUNDVERTER AGREE THAT ALL CLAIMS SHALL BE BROUGHT ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. TO THE EXTENT ANY CLAIM IS PERMITTED IN COURT, YOU AND SOUNDVERTER WAIVE ANY RIGHT TO A JURY TRIAL.
CONFIDENTIALITY: THE EXISTENCE OF THE ARBITRATION, THE PROCEEDINGS, MATERIALS SUBMITTED, AND THE AWARD SHALL BE STRICTLY CONFIDENTIAL, EXCEPT AS REQUIRED TO ENFORCE AN AWARD OR AS OTHERWISE REQUIRED BY LAW.
FEES AND COSTS: EACH PARTY SHALL BEAR ITS OWN ATTORNEYS’ FEES AND COSTS, SUBJECT TO THE ARBITRATOR’S AUTHORITY TO AWARD FEES AND COSTS TO THE PREVAILING PARTY WHERE PERMITTED BY LAW OR THE APPLICABLE RULES.
TIME LIMIT TO BRING CLAIMS: ANY CLAIM MUST BE FILED WITH THE ARBITRATION ADMINISTRATOR WITHIN ONE (1) YEAR OF THE FIRST EVENT GIVING RISE TO THE CLAIM; OTHERWISE, THE CLAIM IS PERMANENTLY BARRED.
INJUNCTIVE RELIEF CARVE-OUT: NOTWITHSTANDING THE FOREGOING, SOUNDVERTER MAY SEEK INJUNCTIVE OR EQUITABLE RELIEF IN ANY COURT OF COMPETENT JURISDICTION TO PROTECT ITS INTELLECTUAL PROPERTY, PROPRIETARY RIGHTS, OR THE SECURITY/INTEGRITY OF THE SERVICE.
SEVERABILITY; SURVIVAL: IF ANY PART OF THIS SECTION IS FOUND UNENFORCEABLE, THE REMAINING PARTS SHALL REMAIN IN EFFECT TO THE FULLEST EXTENT PERMITTED. THIS SECTION SURVIVES TERMINATION OF THE TERMS OR YOUR ACCOUNT.
OPT-OUT: THERE IS NO OPT-OUT RIGHT. YOUR CREATION OF AN ACCOUNT OR USE OF THE SERVICE CONSTITUTES YOUR CONSENT TO THIS ARBITRATION AGREEMENT.
Termination
We may suspend, throttle, or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms or used the Service unlawfully.
Upon termination, your right to use the Service will immediately cease. Sections intended to survive termination shall survive, including those regarding ownership, disclaimers, limitations, indemnification, dispute resolution, and governing law.
Governing Law
These Terms are governed exclusively by the laws of the United States of America and applicable federal laws, without regard to conflict of law principles.
To the extent a court finds arbitration unenforceable for a specific Claim, such Claim shall be brought exclusively in state or federal courts located in Chicago, Illinois, and you consent to personal jurisdiction and venue there.
Force Majeure
Soundverter shall not be liable for any delay or failure of performance resulting from events beyond its reasonable control, including but not limited to acts of God, natural disasters, labor disputes, war, terrorism, civil disturbance, government action, power or internet failures, or failures of third-party networks or services.
Entire Agreement: These Terms constitute the entire agreement between you and Soundverter regarding the Service and supersede all prior or contemporaneous agreements.
Notices: We may provide notices by posting on the Service, emailing the address associated with your account, or other reasonable means.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without notice.
Third-Party Beneficiaries: Soundverter’s owners, shareholders, members, officers, directors, employees, contractors, agents, and affiliates are intended third-party beneficiaries of the disclaimers, limitations, indemnities, and arbitration/waiver provisions.
Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
Survival: Provisions that by their nature should survive termination shall survive, including without limitation Sections 9–16 and 18–20.
Geographic Restrictions; Compliance
You represent that your use of the Service is legal in your jurisdiction and that you are not subject to U.S. sanctions or export restrictions.
We may restrict access to the Service, in whole or in part, in any location where use would be unlawful or impracticable.
